Video Release Agreement

This Video Release Agreement ("Agreement") is made and entered into by and between [Name of Participating Business Owner] ("Business Owner"), and the individual registering for the Virtual Competitions Online Platform ("Participant").

WHEREAS, Participant desires to participate in the Virtual Competitions Online Platform ("Platform") hosted by the Business Owner, which may involve the recording and/or streaming of the Participant's likeness, voice, and performance ("Video");

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

Consent to Use Video: Participant hereby grants to Business Owner and its affiliates, successors, assigns, licensees, and agents, the irrevocable, worldwide, royalty-free right and license to use, reproduce, distribute, and display the Video in any and all media, now known or hereafter devised, including without limitation, the Platform and other related materials.

No Obligation: The Business Owner shall have no obligation to use the Video or to include Participant's likeness, voice, or performance in any materials related to the Platform.

Representations and Warranties: Participant represents and warrants that (a) Participant is at least 18 years old or has the consent of a legal guardian, (b) Participant has the right to enter into this Agreement, (c) Participant is not subject to any agreement or obligation that would conflict with this Agreement, (d) the Video does not infringe upon any copyright, trademark, or other intellectual property right, (e) the Video does not defame or invade the privacy of any person or entity, and (f) the Video does not violate any applicable law or regulation.

Release and Indemnification: Participant hereby releases, indemnifies, and holds harmless Business Owner, its affiliates, successors, assigns, licensees, and agents, from and against any and all claims, liabilities, damages, expenses, and costs (including reasonable attorneys' fees) arising out of or in connection with the use, reproduction, distribution, or display of the Video or any breach of this Agreement by Participant.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of [State], without giving effect to its principles of conflicts of law.

Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements, understandings, or negotiations, whether written or oral.

Binding Effect: This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.

Acknowledgment and Agreement: Participant acknowledges that Participant has read this Agreement, understands it, and agrees to be bound by its terms by checking the designated box on the registration page for the Platform.

Indemnity

 

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Virtual Competitions, its Affiliates, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorneys fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of this Agreement; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive this Agreement and your use of the Service.

About this Agreement

Modifying this Agreement

 

We may modify this Agreement, for example, to reflect changes to our Service or for legal, regulatory, or security reasons. Virtual Competitions will provide reasonable advance notice of any material modifications to this Agreement and the opportunity to review them, except that modifications addressing newly available features of the Service or modifications made for legal reasons may be effective immediately without notice. Modifications to this Agreement will only apply going forward. If you do not agree to the modified terms, you should remove any Content you have uploaded and discontinue your use of the Service.

Continuation of this Agreement

If your use of the Service ends, the following terms of this Agreement will continue to apply to you: “Other Legal Terms”, “About This Agreement”, and the licenses granted by you will continue as described under “Duration of License”.

Severance

If it turns out that a particular term of this Agreement is not enforceable for any reason, this will not affect any other terms.

No Waiver

If you fail to comply with this Agreement and we do not take immediate action, this does not mean that we are giving up any rights that we may have (such as the right to take action in the future).

Interpretation
